Acceptance of these Terms

These Terms & Conditions (“Terms”) govern your use of the ADS MED BD customer app, this website and the related ordering, delivery and support services (together, the “Service”) provided by ADS MED BD (“ADS MED”, “we”, “us” or “our”).

By registering for an account, signing in or placing an order, you agree to these Terms. If you do not agree to them, please do not use the Service.

The Service is a business-to-business wholesale platform for pharmacies. It is not offered to consumers or patients. If you use the Service on behalf of a pharmacy, you confirm that you are authorised to act for that pharmacy.

Our Privacy Policy explains how we handle the information you provide.

Registration and verification

  • To use the Service you must register an account with your pharmacy’s name and a phone number. We may also ask for the owner’s name, an email address, your drug licence and trade licence details, a photo of your drug licence, the owner’s National ID number and your address.
  • You agree to provide information that is true, accurate, current and complete, and to keep it up to date, including your licence details and their expiry dates.
  • We review the information you submit to verify your pharmacy. Until verification is complete, or if we need further information, your account may be placed on hold and some or all features may be unavailable.
  • We may decline a registration, or ask for additional documents, where we cannot verify the information provided.

Passwords, OTPs and account security

  • You sign in with your registered phone number and password, followed by a one-time password (OTP) sent by SMS to that phone number. OTPs are also used when you reset a forgotten password.
  • Keep your password and OTPs confidential. Do not share them with anyone, including anyone claiming to represent ADS MED.
  • You are responsible for activity carried out through your account, including orders placed with your sign-in details.
  • If you were given a default or temporary password, change it as soon as you can.
  • Tell us promptly if you believe your account, password or phone number has been used without your permission.

Owner and member accounts

  • A pharmacy owner can create member accounts for staff, each with its own phone number, email address and password, and can edit, block or remove those accounts. A member account that has placed orders can be blocked but cannot be removed in the app.
  • Only the pharmacy owner can manage member accounts. The number of member accounts a pharmacy may have is limited; contact us if you need the limit reviewed.
  • Members act on behalf of the pharmacy. Orders placed by a member are orders of the pharmacy, and the pharmacy is responsible for them and for its members’ use of the Service.
  • The owner should block or remove a member’s account promptly when that person no longer works for the pharmacy or should no longer have access.

Permitted use

You may use the Service only to browse products and to place and manage wholesale orders for your pharmacy business, in accordance with these Terms and the laws that apply to you. You must not:

  • Provide false, misleading or another person’s licence, identity or contact details.
  • Use the Service to obtain products for any purpose other than lawful supply through your pharmacy business.
  • Share your sign-in details, or let anyone who is not authorised by your pharmacy use your account.
  • Attempt to gain unauthorised access to the Service, to other accounts or to our systems.
  • Interfere with or disrupt the Service, or use automated tools to scrape or extract data from it.
  • Copy, modify, reverse engineer or resell any part of the Service, except where the law allows this.
  • Misuse coupons, discounts or promotional offers, including flash-sale purchase limits.

Orders

  • An order placed through the app is a request to buy the listed products. Orders are subject to review, confirmation and stock availability, and we may decline or hold an order.
  • If some items are unavailable, an order may be delivered in part. Your invoice will show the items and quantities actually supplied.
  • Prices, discounts and offers shown in the app may change. The amounts that apply to an order are those shown when you place it, subject to the invoice issued for the products supplied.
  • Promotional offers, coupons and flash sales may be subject to their own conditions, such as time limits and quantity limits.
  • You can cancel an order from the app only while it is at an early stage of processing. After that, please contact support to ask whether the order can still be cancelled.
  • You are responsible for making sure someone is available to receive and check the delivery at the address you gave.

Outside Dhaka, products are sent by courier service and are usually delivered within 2–3 working days.

Return policy

Important: Check all medicines against the invoice while the delivery executive is still present. If any medicine does not match, hand it back to the delivery executive. Once the delivery executive has left, medicines offered for return afterwards will not be accepted.

Key rules

  • All products must be checked at the time of delivery.
  • The products received must be compared with the invoice.
  • Any defect or mismatch must be reported to the delivery executive immediately.
  • No product will be taken back after the delivery has been completed.

This return policy does not affect any rights you have under applicable law that cannot be excluded or limited.

Payments, dues and invoices

  • Orders are payable in cash on delivery unless we have agreed otherwise with your pharmacy. Advance payments and charges for deliveries outside Dhaka are described above.
  • Where we allow your pharmacy to buy on credit, the unpaid amount is recorded as your due balance, and a due limit applies to your account. We set and may change that limit.
  • If your due balance is at or above your due limit, new orders may be held for review or declined, or you may be asked to settle part or all of the outstanding dues first.
  • We record the payments we receive from you, including the amount, date and method. Your payment history and due balance are shown in the app.
  • An invoice is issued for each order supplied, and you can view your invoices in the app. Please keep your own copies for your business records.
  • If you believe an invoice, payment record or due balance is wrong, tell us as soon as possible so that we can check it.

Product information

  • We try to keep product names, descriptions, images, pack sizes and prices in the app accurate, but they are provided for ordering purposes and may contain errors or be out of date.
  • Alternative medicines shown in the app are suggestions based on matching composition. The pharmacist is responsible for confirming that a product is suitable before dispensing it.
  • Nothing in the Service is medical advice. Dispensing decisions, storage of products after delivery and compliance with the licensing and regulatory requirements that apply to your pharmacy are your responsibility.

Service availability and changes

We aim to keep the Service available, but we do not promise that it will be uninterrupted or error-free. The Service may be unavailable from time to time because of maintenance, updates, network or third-party failures, or events outside our control.

We may add, change or remove features, products, delivery areas and offers. Where a change significantly affects how you use the Service, we will take reasonable steps to let you know.

Suspension and termination

Subject to applicable law, we may place an account on hold, restrict it or close it where:

  • Licence or identity information is missing, invalid, expired or cannot be verified.
  • We have reasonable grounds to believe that information provided is untrue, inaccurate or incomplete.
  • These Terms have been breached, or the account has been misused.
  • Dues remain unpaid.
  • We are required to do so by law or by a competent authority.

You may stop using the Service at any time, and may ask us to close your account by emailing [email protected]. Closing or suspending an account does not cancel amounts already owed, or rights and obligations that arose before the closure.

Intellectual property

The Service, including the app, this website, their design, software, text and graphics, and the ADS MED BD name and logo, belongs to ADS MED BD or its licensors. Product names, brands and images of medicines belong to their respective owners.

We give you a limited, non-exclusive, non-transferable permission to use the Service for your pharmacy’s ordering needs in line with these Terms. No other rights are granted.

Third-party services

The Service relies on services provided by third parties, including SMS delivery of one-time passwords (ZendSMS), push notifications (Firebase Cloud Messaging by Google), courier services for deliveries outside Dhaka, and mobile financial services or banks when you choose to pay through them.

Those services are operated by their own providers under their own terms. To the extent permitted by applicable law, we are not responsible for delays or failures caused by them, such as an SMS that arrives late or a notification that is not delivered.

Disclaimers and liability

To the extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis, and we do not give warranties beyond those expressly stated in these Terms.

To the extent permitted by applicable law, we are not liable for indirect or consequential losses, or for loss of profit, business or data, arising from your use of, or inability to use, the Service.

Nothing in these Terms excludes or limits any liability, or any right you have, that cannot be excluded or limited under applicable law.

Complaints and disputes

If you have a complaint or a dispute about the Service, an order, an invoice or a payment, please contact us first using the details below. We will look into it and try in good faith to resolve it with you.

These Terms do not prevent either of us from using any remedy available under applicable law.

Changes to these Terms

We may update these Terms from time to time, including the discount, delivery, payment and return rules set out above. When we do, we will publish the revised Terms on this page and change the “Last updated” date at the top. The revised Terms apply to orders placed after they are published.
